PPA, Impairment Testing & Financial Investments Valuation

A business combination refers to a transaction or event where a reporting entity (the acquirer) gains control of one or more businesses (the acquiree). In such cases, International Financial Reporting Standards (IFRS) and as such Malaysian Financial Reporting Standards (MFRS) require the acquirer to recognise and measure the fair value of identifiable assets acquired and liabilities assumed at the acquisition date. This process is known as purchase price allocation (PPA).

This includes the fair valuation of not only tangible assets but also intangible assets that meet the recognition criteria. A key outcome of this process is determining the goodwill (or bargain purchase gain) arising from the acquisition.

Certain PPAs can be complex, especially when the purchase consideration includes unquoted or unlisted shares of the acquirer, earn-outs based on revenue, profit, or other performance conditions. These scenarios require fair valuation of the consideration using advanced scenario and probability analysis, along with complex quantitative techniques and financial modelling supported by high-performance computing. Goodwill and indefinite-life intangible assets must be reviewed and, where necessary, updated annually (or earlier if a trigger event occurs) through impairment testing to assess any reduction in value.
